Terms of Service
StitchPay (“we”, “our”, “us”, “the Platform”) provides payroll automation and payment disbursement services for fashion houses and tailoring businesses. By accessing or using StitchPay, you (“you”, “the User”, “the Business”) agree to be bound by these Terms of Service (“Terms”).

1. Definitions
- Organisation: A fashion house, tailoring business, or similar entity registered on StitchPay.
- Staff: Individuals granted login access by an Organisation (CEO, Accountant, Production Manager).
- Tailor: An individual worker registered by an Organisation to log work and receive payments.
- Wallet: A virtual account maintained on the Platform for the purpose of funding payroll disbursements.
- Disbursement: The transfer of funds from an Organisation's Wallet to tailors' bank accounts.
- Platform Fee: The transaction fee charged per tailor payout.
2. Eligibility
To use StitchPay, you must:
- Be a registered business in Nigeria with valid CAC documentation.
- Have at least one director who is 18 years of age or older.
- Provide accurate and complete Know Your Business (KYB) documentation as required.
- Maintain a valid Nigerian bank account for wallet funding.
3. Account Registration
3.1 Organisation Accounts
- Each Organisation must designate a CEO (primary account holder) during registration.
- The CEO is responsible for all actions taken on the Organisation's account.
- You must provide accurate, current, and complete information during registration.
- You are responsible for maintaining the security of login credentials.
3.2 Staff Accounts
- The CEO may create additional Staff accounts with defined roles.
- Each role carries specific access permissions as defined in the Platform.
- Staff accounts are the responsibility of the Organisation.
3.3 Tailor Accounts
- Organisations register tailors on the Platform.
- Tailors access the Platform using a PIN and their registered phone number or email.
- The Organisation is responsible for the accuracy of tailor registration data, including bank details.
4. KYB Verification
4.1 Requirement
All Organisations must complete KYB verification before accessing payment features. This includes submission of:
- CAC Certificate of Incorporation
- Tax Identification Number (TIN)
- Director identification and BVN
- Business address verification
- Additional documents as may be requested
4.2 Verification Process
- StitchPay reviews submitted documents and may approve, reject, or request additional information.
- Verification decisions are made at StitchPay's sole discretion.
- Organisations may use non-payment features during the verification process.
4.3 Ongoing Compliance
- Organisations must notify StitchPay of any changes to their business details, directors, or ownership structure within 30 days.
- StitchPay may periodically request updated documentation.
- Failure to maintain current documentation may result in suspension of payment features.
5. Services
5.1 Payroll Management
- StitchPay provides tools for tracking tailor work, managing work orders, calculating payroll, and generating reports.
- Payroll calculations are based on rate cards and job entries configured by the Organisation.
- The Organisation is solely responsible for the accuracy of rates, job entries, and approval decisions.
5.2 Wallet and Payments
- Each verified Organisation receives a virtual bank account for wallet funding.
- Funds deposited into the virtual account are credited to the Organisation's Wallet.
- The Organisation initiates disbursements to tailors from the Wallet balance.
- StitchPay processes disbursements through its payment partner (currently Kuda Microfinance Bank).
- StitchPay does not guarantee the timing of bank transfers, which are subject to the receiving bank's processing.
5.3 Account Verification
- StitchPay verifies tailor bank account details before disbursement using third-party services.
- Verification confirms the account holder's name but does not guarantee the account is active or able to receive funds.
6. Fees and Pricing
6.1 Subscription Plans
StitchPay offers the following plans:

Prices are subject to change with 30 days' notice.
6.2 Transaction Fees
- A Platform Fee of ₦100 per tailor payout is charged for each successful disbursement.
- Transaction fees are deducted from the Organisation's Wallet at the time of disbursement.
- Failed transfers are not charged a transaction fee.
- Transaction fees are non-refundable.
6.3 Payment Terms
- Subscription fees are billed monthly or annually in advance.
- Transaction fees are deducted at the time of each disbursement.
- All fees are quoted in Nigerian Naira (₦).
- Failure to maintain a paid subscription when required may result in feature restrictions.
7. Wallet Terms
7.1 Funding
- Organisations fund their Wallet by transferring to their assigned virtual account.
- StitchPay credits the Wallet upon confirmed receipt of funds.
- Wallet funds are held by StitchPay's banking partner and are not covered by NDIC deposit insurance beyond the partner bank's coverage.
7.2 Use of Funds
- Wallet funds may only be used for payroll disbursements and associated Platform Fees.
- StitchPay reserves the right to freeze Wallet funds if suspicious activity is detected.
7.3 Withdrawals
- Organisations may request withdrawal of unused Wallet funds by contacting StitchPay support.
- Withdrawals are processed to the Organisation's registered bank account within 3–5 business days.
- StitchPay may charge a withdrawal fee as published on the Platform.
7.4 Abandoned Funds
- Wallet funds that remain inactive for 12 months may be treated as abandoned in accordance with applicable law.
- StitchPay will attempt to notify the Organisation before taking any action on abandoned funds.
8. Organisation Responsibilities
The Organisation agrees to:
- Provide accurate and truthful information at all times.
- Ensure tailor bank details are correct before initiating disbursements.
- Maintain adequate Wallet balance to cover payroll and fees.
- Comply with all applicable Nigerian employment, tax, and labour laws.
- Not use the Platform for money laundering, fraud, or any illegal activity.
- Notify StitchPay immediately of any unauthorised access to their account.
- Ensure that all tailors registered on the Platform have consented to the collection and processing of their personal data.
9. StitchPay Responsibilities
StitchPay agrees to:
- Provide the services described herein with reasonable skill and care.
- Process disbursements in a timely manner, subject to banking partner availability.
- Maintain appropriate security measures to protect user data.
- Provide customer support during business hours.
- Notify users of material changes to the Platform or these Terms.
10. Limitation of Liability
10.1 StitchPay shall not be liable for:
- Errors in payroll calculations caused by incorrect data entered by the Organisation.
- Failed or delayed bank transfers caused by the receiving bank or payment partner.
- Losses resulting from unauthorised access due to the Organisation's failure to secure credentials.
- Indirect, consequential, or incidental damages arising from use of the Platform.
- Service interruptions caused by factors beyond StitchPay's reasonable control.
10.2 Maximum Liability
StitchPay's total liability for any claim arising from these Terms shall not exceed the total Platform Fees paid by the Organisation in the 12 months preceding the claim.
11. Intellectual Property
- The StitchPay platform, including its design, code, branding, and documentation, is the intellectual property of StitchPay.
- Organisations retain ownership of their business data uploaded to the Platform.
- Organisations grant StitchPay a non-exclusive licence to use their data for the purpose of providing the services.
- StitchPay may use anonymised, aggregated data for platform improvement and industry insights.
12. Termination
12.1 By the Organisation
- Organisations may terminate their account at any time by contacting StitchPay support.
- Outstanding Wallet balances will be refunded to the Organisation's registered bank account.
- Subscription fees already paid are non-refundable.
12.2 By StitchPay
StitchPay may suspend or terminate an Organisation's account if:
- The Organisation breaches these Terms.
- KYB documentation is found to be fraudulent or materially inaccurate.
- Suspicious or illegal activity is detected.
- The Organisation fails to respond to document update requests within 30 days.
12.3 Effect of Termination
- Upon termination, the Organisation's access to the Platform is revoked.
- StitchPay will retain transaction records for the legally required retention period.
- Wallet funds will be returned minus any outstanding fees or obligations.
13. Dispute Resolution
13.1 Negotiation
Parties shall first attempt to resolve disputes through good-faith negotiation.
13.2 Mediation
If negotiation fails within 30 days, either party may refer the dispute to mediation under the Lagos Court of Arbitration (LCA) rules.
13.3 Arbitration
If mediation fails, the dispute shall be resolved by binding arbitration under the Arbitration and Mediation Act 2023, with the seat of arbitration in Lagos, Nigeria.
13.4 Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
14. Indemnification
The Organisation agrees to indemnify and hold harmless StitchPay, its directors, employees, and agents from any claims, damages, or expenses arising from:
- The Organisation's breach of these Terms.
- Inaccurate information provided by the Organisation.
- The Organisation's violation of any applicable law.
- Any dispute between the Organisation and its tailors or employees.
15. Force Majeure
StitchPay shall not be liable for failure to perform its obligations due to events beyond its reasonable control, including but not limited to natural disasters, government actions, internet or telecommunications failures, banking system outages, or pandemic-related disruptions.
16. Modifications
StitchPay reserves the right to modify these Terms at any time. Changes will be communicated via:
- Email notification to the Organisation's registered CEO email
- In-app notification on the Platform
- Updated “Last Updated” date on this page
Continued use of the Platform after notification constitutes acceptance of the modified Terms. Material changes will provide 30 days' advance notice.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy and any plan-specific terms, constitute the entire agreement between you and StitchPay regarding use of the Platform.
